Shareholder Agreements - Tips and Traps
Wallmans Lawyers invite you to our complimentary workshop on Shareholders' Agreements. The seminar is tailored for accountants and those assisting their clients with appropriate structuring or restructuring options.
With key expertise in this area, our Commercial and Contract Special Counsel, Mark Sallis will address:
- the division of powers between shareholders (few) and directors (many)
- is a Shareholders' Agreement in fact needed?
- what a Shareholders' Agreement can do that the company's Constitution cannot
- key topics for shareholders
- statutory rights and remedies of shareholders against the directors
- keeping the process simple, fast and cheaper to the client (some new concepts to discuss)
The session will be chaired by Commercial Partner, Paul Gordon, who will also share his expertise and answer panel questions at the conclusion of the workshop.
Our discussion will be relevant to a Unitholders' Agreement where a unit trust is the commercial vehicle for an enterprise. If time allows, we may also canvas some concepts that might be embedded in the Constitution of a company acting as trustee of a unit trust.
